TERMS AND CONDITIONS

1. Force Majeure: The Contractor will not be liable for any delay, interruption or failure to perform the work if such delay,
interruption or failure is due to any cause beyond the Contractor's reasonable control, including but not limited to, acts of God,
war, terrorism, natural disasters, strikes, or other labour disputes.
2. Indemnification: The Client agrees to indemnify and hold harmless the Contractor from and against any and all claims,
damages, expenses, and liabilities arising out of or in connection with the work performed by the Contractor, except to the
extent such claims, damages, expenses, and liabilities are caused by the Contractor's negligence or wilful misconduct.
3. Intellectual Property: Any intellectual property created by the Contractor in connection with the work, including but not limited
to, designs, drawings, plans, and specifications, will remain the property of the Contractor. The Client is granted a non-exclusive
license to use such intellectual property solely for the purpose of the work.
4. Confidentiality: The Contractor agrees to keep confidential all information provided by the Client in connection with the work,
except to the extent necessary to perform the work or as required by law.
5. Assignment: Neither party may assign this agreement without the prior written consent of the other party.
6. Governing Law: This agreement will be governed by and construed in accordance with the laws of Queensland. Any dispute
arising out of or in connection with this agreement will be subject to the exclusive jurisdiction of the courts of Queensland.
7. Notices: Any notice or communication required or permitted to be given under this agreement must be in writing and delivered
personally, by registered or certified mail, or by email to the respective addresses provided by the parties.
8. Waiver: The failure of either party to enforce any provision of this agreement will not constitute a waiver of that provision or
any other provision of this agreement.
9. Severability: If any provision of this agreement is held to be invalid or unenforceable, the remaining provisions will remain in
full force and effect.
10. Amendment: This agreement may only be amended by a written instrument executed by both parties.
